1. Acceptance of Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Lim We Chern, the operator of MAD Portal (“Operator”, “we”, “us”). By creating an account, accessing or using MAD Portal (the “Service”), you confirm that you have read, understood and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under the laws of Malaysia. The Service is intended for use by real estate agents, negotiators and affiliated personnel of IQI MAD or invited counterparts. The Operator may refuse, suspend or terminate access at its sole discretion.

3. Accounts and Referral Codes

Access to the Service is invitation-based. You are responsible for maintaining the confidentiality of your credentials and referral code, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use. The Operator is not liable for any loss arising from your failure to safeguard your account.

4. Acceptable Use

You agree not to:

• copy, download, screen-record, redistribute or commercially exploit any content on the Service;
• reverse engineer, scrape, or attempt to extract source code or training data from the Service;
• share your account or referral link in a manner that circumvents the invitation system;
• upload content that is unlawful, defamatory, infringing, obscene, or contains malware;
• impersonate any person, or misrepresent your affiliation with IQI MAD;
• use the Service to send unsolicited communications or harvest user information.

5. Intellectual Property

All training videos, project information, branding, designs, code and other materials made available through the Service are the property of the Operator, IQI MAD, or their respective licensors, and are protected by Malaysian and international copyright laws. No licence, express or implied, is granted to you other than the limited, revocable, non-transferable right to access and view the content for personal training purposes only.

6. User-Submitted Content

If you submit any content (notes, comments, uploaded materials), you grant the Operator a worldwide, royalty-free, non-exclusive licence to host, store, reproduce and display that content as necessary to operate the Service. You warrant that you have the rights to grant this licence and that your content does not infringe any third-party rights.

7. Service Availability — “As Is”

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory or otherwise. To the maximum extent permitted by Malaysian law, the Operator disclaims all warranties including fitness for a particular purpose, merchantability, accuracy, non-infringement, uninterrupted availability, and freedom from errors or viruses.

8. Limitation of Liability

To the fullest extent permitted by law, the Operator (Lim We Chern), his contractors and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, data, business opportunity, goodwill, or data loss arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages. The aggregate liability of the Operator for any claim arising out of or relating to these Terms shall not exceed MYR 100 or the amount you paid to access the Service in the preceding 12 months, whichever is lower.

9. Indemnity

You agree to indemnify, defend and hold harmless the Operator from and against all claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Service; or (c) your violation of any rights of any third party.

10. Termination

We may suspend or terminate your account at any time, with or without notice, for any reason including breach of these Terms. Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 9, 11 and 12 survive termination.

11. Governing Law and Jurisdiction

These Terms are governed by, and construed in accordance with, the laws of Malaysia. You irrevocably submit to the exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes arising out of or in connection with these Terms.

12. Changes to the Terms

We may modify these Terms from time to time. Material changes will be notified by email or in-product banner. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.
